These Terms of Service ("Terms") govern your access to and use of media-ningmengzhibo.com (the "Website") and the media production, marketing, and related services (the "Services") offered by Blue Peak Media ("Blue Peak Media," "we," "us," or "our"), a company with its registered address at Jõe tn 3-315, Kesklinna linnaosa, Tallinn 10151, Estonia. By accessing the Website or engaging us for Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By visiting the Website, submitting a contact form, or signing a proposal, statement of work, or service agreement with us, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy and Cookie Policy. If you do not agree, please discontinue use of the Website and do not engage our Services.

2. About Blue Peak Media

Blue Peak Media is a media services company providing content production, digital marketing, social media management, brand strategy, copywriting, analytics, and related services to businesses and individual clients. The Website is informational and serves as the primary point of contact for prospective and existing clients.

3. Use of the Website

You agree to use the Website only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of the Website by, any third party. Prohibited uses include, without limitation:

• Attempting to gain unauthorized access to the Website, our systems, or related networks;
• Introducing viruses, malware, or other harmful code;
• Scraping, harvesting, or collecting data from the Website without our prior written consent;
• Using the Website to transmit unsolicited advertising or spam;
• Impersonating any person or entity, or misrepresenting your affiliation with any person or entity.

4. Services and Engagements

Specific Services are governed by a separate proposal, statement of work, order form, or service agreement ("Engagement Document") agreed between Blue Peak Media and the client. Where there is a conflict between these Terms and an Engagement Document, the Engagement Document controls with respect to the specific Services it describes.

We aim to deliver Services on the timelines set out in each Engagement Document, but timelines are estimates and may shift due to client feedback cycles, third-party platform changes, or other factors outside our reasonable control. We will communicate material delays as soon as we become aware of them.

5. Fees and Payment

Fees for Services are set out in the applicable Engagement Document or invoice. Unless otherwise agreed in writing:

• Invoices are payable within 14 days of the invoice date;
• Project-based engagements may require an upfront deposit before work begins;
• Monthly retainers are billed in advance for the upcoming service period;
• Third-party costs (such as paid advertising spend, stock assets, talent fees, or software licenses) are billed separately or passed through at cost unless otherwise agreed;
• Late payments may result in suspension of ongoing work until outstanding amounts are settled.

6. Intellectual Property

Unless otherwise agreed in an Engagement Document, upon full payment of applicable fees, ownership of final deliverables created specifically for a client (such as finished videos, graphics, or copy) transfers to that client. Blue Peak Media retains ownership of:

• Pre-existing tools, templates, frameworks, and methodologies used to create deliverables;
• Working files, drafts, and unused concepts not delivered as final deliverables;
• The Website itself, including its design, text, graphics, and underlying code, which may not be copied or reused without permission.

We may request permission to reference completed client work in our portfolio or case studies; clients may decline such requests at any time by notifying us in writing.

7. Client-Supplied Content

If you provide us with content, brand assets, footage, data, or other materials ("Client Content") for use in producing Services, you represent that you own or have the necessary rights and licenses to that Client Content, and that our use of it as instructed will not infringe any third party's rights. You agree to indemnify us against claims arising from Client Content you provide.

8. Third-Party Links and Services

The Website and our Services may reference or rely on third-party platforms (such as social media networks, advertising platforms, or analytics providers). We do not control these third parties and are not responsible for their content, policies, availability, or practices. Your use of third-party platforms is subject to their own terms and privacy policies.

9. Disclaimers

The Website and general information it contains are provided "as is" without warranties of any kind, express or implied, including warranties of accuracy, completeness, or fitness for a particular purpose. While we strive for accuracy, we do not guarantee that the Website is free of errors or that any media campaign or content will achieve specific results, as performance depends on many factors outside our control, including third-party platform algorithms and market conditions.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Blue Peak Media shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of the Website or our Services. Where liability cannot be excluded under applicable law (including mandatory consumer protection law in the EU), our total liability for any claim arising from a specific Engagement Document is limited to the fees paid by the client for the Services giving rise to the claim in the preceding three months.

11. Indemnification

You agree to indemnify and hold harmless Blue Peak Media, its officers, employees, and contractors from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Website, or Client Content you provide that infringes third-party rights.

12. Suspension and Termination

We may suspend or restrict access to the Website at our discretion, including to protect the security or integrity of our systems. Engagement Documents may be terminated in accordance with their own termination provisions; in the absence of specific provisions, either party may terminate an ongoing engagement with 30 days' written notice, with fees for work completed up to the termination date remaining payable.

13. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Estonia, without regard to conflict-of-law principles. Any dispute arising from these Terms or our Services that cannot be resolved informally shall be subject to the exclusive jurisdiction of the competent courts of Estonia, except where mandatory consumer protection laws of your country of residence grant you the right to bring proceedings in your local courts.

If you are an EU consumer, you may also be entitled to use the EU's Online Dispute Resolution platform to resolve disputes without going to court.

14. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. The "Last updated" date at the top of this page indicates when the Terms were last revised. Material changes affecting active Engagement Documents will be communicated directly to affected clients.
